General Terms and Conditions of Business

• § 1 Conclusion of contract
  All of the Seller's offers are subject to alteration and non-binding. Contracts only come about when they are confirmed by the Seller by telephone, in writing, or by email. Offers, deliveries, and services are made solely subject to these GTC. Different or contradictory GTC of the Buyer are not recognised and under no circumstances are they part of this contract unless they are confirmed in writing by the Seller.
• § 2 Prices
  The price calculated is subject to the VAT applicable at the time of delivery. All price information is subject to alteration. It is given in Euro plus packaging, postage and shipping costs at cost price. With USB Stick orders, you will receive an order confirmation after you confirm the print preview. We reserve the right to change prices due to price fluctuations in the "NAND Flash memory" market, up to the point of sending the order confirmation.
• § 3 Delivery / Delivery time
  Deliveries are made from the Seller's registered office unless nothing else has been agreed. Shipping is solely at the expense and the risk of the Buyer. The dates and deadlines desired by the Buyer are non-binding, our delivery dates, as given, are approximate. Only dates named by the Seller are deemed to apply. The Seller is not responsible for delays in delivery due to Acts of God; such delays do not release the Buyer from his contractual obligations. USB Sticks are dispatched via DPD.
• § 4 Refusal of acceptance / Right of withdrawal

• § 5 Guarantee / Notification of defects
  The Buyer's guarantee rights due to defective goods only exist if the goods are returned to the Seller within 7 days of receipt, unused and in the original packaging. Goods that are printed or engraved may not be returned. The Seller bears the costs of returns resulting from defective deliveries. Claims for damages by the Buyer against the Seller are excluded. Complaints because of variations in colour or materials as well as incorrect handling are excluded.
• § 6 Guarantee for USB Sticks
  We give you a two year guarantee for the function (of the memory chip) of USB sticks bought from us. You receive a one year guarantee for the duration of the print or engraving. In the event of a guarantee claim, you must send us the USB stick and a description of the fault, sufficiently franked. We will check this and send you a new stick WITHOUT advertising print. It is not possible to provide advertising prints in guarantee cases.
• § 7 Prints & Engravings for USB sticks
  We give a one year guarantee for the duration of prints and engravings on USB sticks. Engravings are made by either laser or needle depending on the particular model. Prints are made by pad or offset printing depending on the particular model. Variations in the print or engraving may occur due the curved surface or some USB sticks. The variations may be up to 2.5 millimetres; return is excluded for such cases! The print preview that you receive from us is approximate; the print or engraving may vary slightly from the preview. Return is excluded in such cases.
• § 8 Payment / Arrears of payment / Retention of property
  Payments must be made exclusively to the Seller. The payment conditions are: only payment in advance. The Seller is not obliged to accept drafts or cheques as payment. Exceptions are made only on account of performance. If the last payment deadline is exceeded, the Buyer must pay the Seller default interest at 8% above the current basic interest rate of the German National Bank. Delivered goods remain the property of the Seller until they are fully paid for.
• § 9 Invalidity / Salvatory clause
  If individual terms or clauses in these GTC are or become invalid, the validity of the remaining terms is not affected by this. The invalid or ineffective clause will be replaced by a valid one, which would have been agreed by the contractual parties at the time of closing the contract.
• § 10 Place of fulfilment / Place of jurisdiction
  The Seller's head office is the place of fulfilment for all liabilities arising from the delivery transaction. The Seller's head office is the place of jurisdiction for all disputes arising from the contract.. Provisions of the UN convention of contracts and the International Sale of Goods do not apply; German law applies.
